The M&A Source Conference in Dallas, Texas held the 2nd week in May this year was a tremendous source of quality information conveyed to attendees via a series of formal courses, workshops and the most important informal discussions one has with fellow attendees at meals, breaks between sessions and the evening receptions.
One of the many workshops I attended was a panel discussion by three professional buyers (Trinity Private Equity Group, Plexus Capital, and Long Trail Holdings) and an intermediary (The Independence Group) who shared their top Deal Killers.
Trinity:  Inventory, COGS and the Balance Sheet Matters
Plexus:  Background Checks, Tax Liens and Attorneys-Only use Transaction
Long Trail:  Motivated Sellers, Understanding of Working Capital
Independence:  Time Kills all Deals, Use a Punch List to Manage the Process
The overarching take away for me from the Dallas Conference was for the M&A Advisor to really get to know the professional you are dealing with and build a working relationship based on mutual respect, competence and straight talk as relationships trump all other considerations
