M&A in the Age of Covid-19
Covid-19 has changed the M&A landscape in many respects, from the LOI stage to closing and beyond. Now that we are a year into the Covid-19 world, it is a good time to look back at the changes engendered by Covid-19 and to also look forward in terms of whether we expect these changes to have been temporary or whether they will have more of a long term impact. This program will focus on the key aspects of an M&A transaction, including pricing, due diligence, representations and warranties, interim covenants, closing conditions and indemnification (including representation and warranty insurance considerations), and examine the changes we have seen and what we anticipate the future will look like.
